This Terms and Conditions document constitutes a legally binding contractual agreement (hereinafter referred to as the
"Agreement" or "Terms & Conditions") entered into by and between:
You, alongside any Legal Entity you lawfully represent (hereinafter collectively referred to as
"You" ,"Your", or "User"), including your executors, legal heirs, administrators, successors, and permitted assigns; AND
VGS COURIER EXPRESS PRIVATE LIMITED, a private limited company incorporated under the
Indian Companies Act, 2013, having its corporate office at 3, Vasudev Chamber,92-Mahaveernagar Sangli-416416, Maharastra,india
(hereinafter referred to as "VGS Courier", "We", "Our", or "Us"), including its corporate successors,
affiliates, and assigns.
The User and VGS Courier shall be collectively designated as "Parties" and individually as a "Party".
VGS Courier owns, manages, and operates the digital infrastructure consisting of the website
www.vgscourier.in (the "Website") and the mobile application "VGSCourier" (the "App"), collectively
referred to as the "Platform(s)".
Through these Platforms, VGS Courier provides logistical, shipping, and supply-chain solutions
(the "Services"), either directly or via sub-contracted third-party logistics entities ("Shipping Vendors"),
and may offer specific commercial inventory for sale ("Products").
> Important: Please comprehensively read these Terms & Conditions and all linked policies prior to account
registration, downloading the application, browsing the site, or purchasing any Services or Products.
The Platforms, Services, and Products are strictly restricted to individuals or entities competent to form legally binding contracts under the Indian Contract Act, 1872. VGS Courier explicitly bars any person or entity previously suspended, blacklisted, or blocked from accessing the Platform, unless explicit written reinstatement is issued at Our sole discretion.
By accessing, registering, or transacting on the Platform, You unconditionally warrant and represent that:
1. You are at least 18 years of age.
2. You possess the full legal capacity to enter into an enforceable contract under applicable laws.
3. You are not barred, restricted, or legally prohibited by any jurisdiction from utilizing these Services.
4. You possess the necessary corporate or personal authorization, rights, and power to execute and perform under this Agreement.
5. Your execution of this Agreement does not breach any prior covenants, court orders, decrees, or third-party agreements binding upon you.
6. You have read, understood, and independently reviewed this Agreement. You agree that no rule of construction or burden of proof shall apply against
VGS Courier by virtue of it being the drafting author of these provisions.
By clicking "Continue", verifying via OTP, checking "I agree to the Terms and Conditions",
or explicitly utilizing the Platforms, you acknowledge that:
* This document constitutes an enforceable contract equivalent to a signed physical agreement.
* VGS Courier reserves the unilateral right to alter, amend, append, or delete portions of this Agreement at any time without prior individualized notice. Amendments become active immediately upon being published on the Platform.
* You bear the sole responsibility to periodically review the Platform for updates. Continued use of our Platforms or Services following any amendment constitutes your absolute and irrevocable acceptance of the modified Terms.
* You grant full consent to receive automated software Updates (patches, bug fixes, optimized elements, and technical plug-ins) vital for continuous Service delivery.
To access our Services, you must complete the registration process, generating an account authenticated through a
One-Time Password (OTP) linked to your active mobile number. You agree to provide current, accurate, and completely
true data (Name, email address, physical address, demographic markers, and contact particulars).
Confidentiality: Credentials and access codes are strictly for individual use. Multiple users are barred from sharing a
single login. You assume full liability for all actions, orders, and transactions occurring under your account, whether
authorized by you or resulting from your negligence.
Minor Usage: If individuals under 18 years of age access the Platform via your credentials, you remain entirely liable for
their compliance and financial liabilities.
Information Updates: You are required to immediately notify our support desk at support@vgscourier.in
regarding any modifications to your registered mobile number, email, or corporate details.
Users are explicitly prohibited from engaging in, attempting to engage in, or facilitating the following:
* Decompiling, reverse engineering, disassembling, or extracting the core source code of the Platform, or infringing upon any
intellectual property, trademark, design, patent, or proprietary right of VGS Courier.
* Impersonating any person or entity, or misrepresenting identity, credentials, age, or commercial affiliation.
* Deploying automated scripts, scrapers, robots, spiders, or manual tracking systems to harvest data or copy content from the
Platforms without written consent.
* Introducing malicious payloads, viruses, Trojan horses, or infected data files engineered to impair, corrupt, or disrupt
the processing networks of VGS Courier or its allied infrastructure.
* Engaging in actions that impose an unreasonable, disproportionate, or structurally damaging load on our servers, networks,
or digital framework.
* Utilizing funds derived from illegal, fraudulent, or unauthorized sources to pay for Services or Products.
* Posting, uploading, or distributing any materials that are defamatory, abusive, ethnically or racially objectionable,
harmful to minors, pornographic, disruptive of national sovereignty or public order, or explicitly designed to mislead or
harass an entity for financial manipulation.
The User explicitly acknowledges that VGS Courier functions purely as a bailee of the Shipments and under no circumstance acts as an insurer. All principles of insurance claims against VGS Courier are explicitly waived except as constrained within the structural liability limits of this Agreement.
Manifest Verification: The User must preserve and record a copy of the physically or digitally signed shipping manifest.
This manifest serves as the sole conclusive proof of handover to VGS Courier or its assigned Shipping Vendor.
Pick-up Constraints: Pick-ups are exclusively executed from the precise geographic location/pin code logged into the
Platform during booking.
Automation: Shipping Vendors are designated via an automated system factoring speed, weight, location, and cargo profiles.
Tracking assignment and Proof of Delivery (POD) are subject to localized vendor availability and are not universally guaranteed.
Labeling and Structural Security: The User must clearly display a robust shipping label on the exterior of each package
detailing the recipient's information, gross weight, order number, and description.
Defective Packaging Disclaimer: It is the User's sole responsibility to ensure goods are packed securely with industrial-grade
materials designed to prevent internal shift or leakage. VGS Courier disclaims all liability for damage, loss, or
contamination arising out of defective or inadequate packaging.
Users must not submit, book, or attempt to forward any package containing materials that are restricted, illegal, stolen,
or dangerous. An indicative list is detailed under Annexure A.
Penalty Clause for Contraband: If a User attempts to ship items in violation of Annexure A or applicable statutory laws,
VGS Courier and its active Shipping Vendors reserve the right to retain custody of the shipment, inspect it, turn it over to
law enforcement, or destroy it. Furthermore, VGS Courier shall levy a structural penalty of Rs. 1,00,000/- (Rupees One Lakh Only)
per incident or shipment alongside applicable freight costs and GST, without prejudice to any criminal or civil litigation we may
pursue. The User agrees to fully indemnify VGS Courier against all legal fees, fines, and corporate damages arising from illegal cargo.
Certain regions or international protocols may dictate that physical person-to-person delivery is impossible. The User agrees that deliveries left in secure drop boxes, open porches, or designated carrier self-collection hubs will be legally logged and categorized as "Delivered" within the Platform tracking system.
All Services and Products are provided on a pre-paid basis unless verified otherwise by an explicit written contract. Users must maintain an adequate credit balance within their Platform account to initiate bookings. VGS Courier will debit the credit wallet dynamically based on calculated freight charges.
Audit Rights: VGS Courier and its Shipping Vendors dynamically audit the weight and dimensions of all shipments upon
receipt at localized hubs.
Discrepancy Debits: If the logged weight or volumetric profile provided by the User is discovered to be inaccurate,
the additional actual tariff will be automatically deducted from the User’s credit wallet, and a revised statement/invoice
will be populated.
Unpaid Suspensions: If a weight correction causes the account balance to turn negative, the invoice is systematically
flagged as unpaid, and all active and future shipments will be put on absolute hold until the deficit is cleared by the User.
Invoice Audits: The User must evaluate all electronic invoices uploaded to the Platform. Any structural dispute or
billing discrepancy must be reported to VGS Courier within **3 (three) days** of availability.
Manifest Mandatory: No billing dispute will be evaluated or validated without the submission of a clearly signed manifest
sheet verifying the actual pickup.
No Refund of Wallet Balance: Funds deposited into the User’s platform wallet cannot be refunded or withdrawn back to
cash or bank accounts. Wallet balances can only be exhausted through the consumption of the logistics services offered
on the Platform.
If a User defaults on payment or maintains a negative balance, VGS Courier maintains the absolute right to:
1. Deduct owed quantities from any collateral funds or payouts owed to the User.
2. Exercise a lien over, retain, and subsequently liquidate or dispose of any packages in our possession within 30 days of default notice.
3. Impose a default interest rate of 18% per annum calculated daily from the due date until full payment is finalized.
4. Forfeit any security deposits held by Us.
For legal tracking, cross-border shipping, and statutory compliance, the User is required to upload necessary authentication data.
Consent to Process: The User explicitly and voluntarily submits valid documentation (which may include PAN card, passport,
driving license, voter identification, GST certificates, entity verification records, or authorized identification vectors)
as requested by the Platform.
Verification: You grant VGS Courier explicit authorization to cross-reference and verify these data metrics with authorized
government databases or third-party authentication services.
Legal Disclosures: In the event of a law enforcement investigation, civil dispute, corporate tracking complaint, or
insurance evaluation, the User explicitly authorizes VGS Courier to share all collected identity details, addresses,
banking metrics, and business logs with judicial bodies, police authorities, or valid complainants.
VGS Courier reserves the right to immediately suspend or permanently terminate your account and block access to the Platform,
without prior notice, if:
* Any information you provide is found to be false, outdated, or fundamentally inaccurate.
* You breach any covenant of this Agreement or allied policies.
* We detect suspicious, unusual, or structurally anomalous volume or activity on your account.
* We discover systemic bypasses of fair-use promotional parameters engineered to gain an unfair financial advantage.
Users may discontinue their legal relationship with VGS Courier at any moment by requesting account deactivation through
the Platform interface, provided all outstanding debts are settled.
Retention Note: Upon deactivation, VGS Courier will continue to archive and maintain core transactional, communication,
and shipping logs for the duration required by national regulatory frameworks, anti-money laundering policies, and legal
archival needs. Termination does not extinguish liabilities incurred prior to the account closure.
Where Services or features rely upon third-party APIs, SDKs, or digital links, they are delivered "as is" and "as available". VGS Courier does not warrant the continuous performance, accuracy, or safety of external transactional gateways or platforms. Any financial loss or technical error suffered on an external third-party interface remains an exclusive dispute between the User and that specific third party.
The User grants explicit consent to receive operational alerts, transactional messages, promotional deals, and marketing notifications from VGS Courier and its allied networks via SMS, Email, WhatsApp, or pushed digital alerts. You agree that these transmissions do not violate rules set forth in the National Do Not Call Registry managed by the Telecom Regulatory Authority of India (TRAI).
Notwithstanding anything contained elsewhere within this agreement, the total cumulative, maximum liability of VGS Courier,
its directors, employees, or vendors, for all claims, damages, losses, or legal causes of action (whether in contract, tort,
or negligence) arising out of your use of the Platform or Services shall be strictly constrained by the following shipment metrics:

For all shipments logged under the economy service tier (VGSCourier Economy), the User explicitly acknowledges that:
Zero-Liability Tier:No claims, refunds, write-offs, or compensations of any nature—whether arising
from complete loss, systemic damage, delivery delays, theft, or total destruction—shall be entertained or
processed by VGS Courier Express Private Limited, regardless of the invoice value, cargo nature, or freight fees paid.
User Selection: This tier is structurally optimized for cost-reduction and features zero compensation coverage. Users requiring
financial protection must select alternative premium tiers providing insurance and claim parameters.
The Platform and Services are provided without express or implied warranties of any kind, including merchantability or fitness for a specific transport purpose. VGS Courier disclaims liability for indirect, incidental, punitive, or consequential damages (including loss of profits, business interruptions, data loss, or cargo degradation) arising out of technical outages, server failures, pandemic restrictions, or Force Majeure events (Acts of God, labor strikes, civil unrest, or statutory embargoes).
The User agrees to defend, indemnify, and hold harmless VGS Courier, its corporate affiliates, directors, officers, employees,
and logistics vendors from any liabilities, damages, legal costs, fines, and claims arising out of:
* Your misuse of the Platform or Services.
* Your violation of any clause within this Agreement.
* Any inaccurate documentation, customs declarations, or faulty packaging.
* Your failure to comply with national laws, export controls, cyber security parameters, or tax protocols.
* Any outstanding customs duties, octroi, clearance fees, or cess levied on your cargo by sovereign ports.
VGS Courier retains absolute, exclusive ownership over all proprietary elements displayed on the Platform, including software architectures, source codes, design aesthetics, user journeys, logos, brand names, trademarks, copyrights, and trade secrets, whether registered or unregistered. Users are explicitly barred from utilizing, duplicating, or displaying our corporate assets without prior written authorization.
This Agreement, alongside all associated schedules, shall be interpreted and governed exclusively by the laws of the India.
Mutual Discussion: If any dispute or conflict arises out of or in connection with these Terms, the Parties shall
first attempt an amicable resolution through formal mutual discussions for a period of 30 (thirty) days from
the receipt of a written Dispute Notice.
Arbitration Mechanics: If mutual resolution fails, the dispute shall be referred to binding arbitration conducted by a
sole arbitrator mutually appointed by the Parties within 45 days of the discussion period's expiration.
If mutual appointment fails, the arbitrator shall be selected in strict accordance with the Arbitration and Conciliation Act, 1996,
as amended.
Language & Seat: The entire arbitration process shall be executed in the English language.
The official seat, venue, and legal place of the arbitration proceedings shall be Maharastra, India.
Subject to the mandatory arbitration framework detailed above, the courts and specialized tribunals located in MAHARASTRA shall maintain absolute and exclusive jurisdiction over any legal differences arising out of this contract.
Principal-to-Principal: This Agreement establishes a strict principal-to-principal relationship.
It does not create any partnership, joint venture, employer-employee relationship, or unauthorized agency
between the User and VGS Courier.
Severability: If any single clause or provision of this Agreement is declared invalid or unenforceable by an
authorized court of law, the validity, legality, and enforceability of the remaining clauses shall remain
completely unaffected and in full force.
Assignment: VGS Courier reserves the right to assign its structural rights and obligations under this contract to
any corporate affiliate or successor entity without requiring the prior consent of the User. The User is prohibited
from transferring or assigning their account rights without written approval from Us.
Electronic Record: This document constitutes an electronic record generated by a computer system in
accordance with the Information Technology Act, 2000, and the rules promulgated thereunder, including
the Intermediary Guidelines and Digital Media Ethics Code Rules, 2021. It requires no physical or digital signatures
to remain legally binding.
The items cataloged below are prohibited, heavily restricted, or barred from carriage by statutory frameworks, international
customs, or VGS Courier processing policies. Submitting these items under false descriptions is subject to severe structural penalties.
* Alcohol, spirits, tobacco products, nicotine items, contraband, and narcotics.
* Activated SIM cards.
* Air guns, replica firearms, military components, munitions, and tactical weaponry.
* Asbestos or hazardous chemical construction compounds.
* Corrosive formulations (acids, heavy chemical reagents, aluminum chloride, caustic soda, corrosive rust inhibitors, acid-based paint strippers, nail polish).
* Biological materials and category B infectious substances.
* Human remains, ashes, or cadaveric structures.
* Perishable raw fruits and vegetables.
* Fire extinguishers and compressed gas canisters.
* Pornographic, explicit, or obscene materials.
* Dry ice.
* Edible oils, unrefined oil cakes, animal fodder, and rice bran.
* Lottery tickets, gambling equipment, or illegal token machinery.
* Food items requiring strict continuous refrigeration.
* Volatile hazardous cargo, toxic agents, and radioactive compounds.
* Uncertified antiques and historical relics.
* High-value designer clothing lines or luxury items (without explicit insurance declaration).
* Bullion, gold, silver, platinum, or raw precious metals.
* Live bacteria, virus strains, or medical culture samples.
* Currency instruments, active cash notes, bank coins, and valid credit/debit instruments.
* Cigarettes and Electronic Cigarettes (Vapes).
* Loose Lithium Batteries (or specific prohibited devices like the Samsung Galaxy Note 7).
* High-powered industrial magnets.
* Unpackaged audio speakers and deep magnetic drivers.
* DNA samples, skin tissues, or blood extraction bags.
* Unregistered cosmetics, artisanal soaps, and volatile perfumes.
* Ignitable, highly combustible, or flammable liquids/solids.
* Prescription medications exceeding a standard 3-month personal supply.
* Homeopathic and Ayurvedic formulations lacking detailed clearance.
* Bulk raw red chili and unprocessed seeds or agricultural cells.
* Sovereign-restricted commodities (e.g., specific PPE kits or N95 masks under export limits).
* Desktop PCs, unsealed electronics components, and individual computing processing chips.
* Original Passports or high-value original government records.
* Live animals, raw skins, undressed furs, or wildlife articles.
* Commercial Drones and remote-controlled aerial vehicles.
* Unprotected LED / LCD monitors and screens.
* Hollow musical instruments prone to internal shifts (e.g., Tabla, Harmonium).
* Hoverboards and self-balancing electric transport devices.
* Precious or semi-precious jewelry sets.
* Tactical knives, switchblades, and unshielded medical needles.
